1. Introduction to the Flexible Ticket Service
1.1. Flexible Ticket, (also known as the "Service"), is provided by MicroSignals, Inc. (“MicroSignals”, “We” or “Us”), a travel intermediary incorporated in the state of Delaware. MicroSignals operates under the brand name Farera using the website www.farera.com.
1.2. These general Terms and Conditions for the Flexible Ticket (“T&Cs”) apply between a customer (“You” or the “Customer”) who has purchased the Service, and MicroSignals, the operator of the booking platform www.farera.com.
1.3. Flexible Ticket is provided directly by Us and can be optionally purchased alongside your airline ticket.
1.4. We retain the right to modify these T&Cs at any time, without the necessity of prior consultations with our Customer.
2. Service Description
2.1. Customers who purchase the MicroSignals’ Flexible Ticket Service will have access to a waiver of Airline-Imposed Fees for changes in flight dates and/or times. Since the Flexible Ticket is a Service provided by Us, it's important to note that this is not accessible through direct contact with the airline. Therefore, all change requests using the Service must be processed through our Customer Support Team (please see section 4 below).
2.2. Specifically, Customers looking to modify the date and/or time of a flight booked via any MicroSignals website (subject to airline policies allowing such modifications) will receive a full waiver of the fee normally charged by the airline for changing reservations. Should the cost of the new flight charged by the airline exceed that of the original, the price difference will be borne by the Customer.
2.3. Kindly note that the MicroSignals Flexible Ticket is a unique Service offered by the Company, and the availability of the Customer's selected new flight is not guaranteed. Confirmation of availability will be provided by the airline and communicated through the Customer’s personal area (“MyArea”).
3. Flight Change Conditions
3.1. The new flight must be operated by the same airline, covering the same original routes (changes in departure and arrival locations are not allowed).
3.2. Requests for changes must be made no later than 72 hours before the scheduled departure time of the initial outbound flight.
3.3. If You wish to request a schedule change for your flight, please note that You cannot choose a new flight departing within 72 hours from the time you submit your request to Us.
3.3. The Service can only be used once by the Customer.
3.4. In the event the original flight is canceled by either the airline or the Customer, the Service cannot be used, nor can a refund be claimed if the withdrawal period has passed.
3.5. If the new flight, as modified by date and/or time, is canceled by either the airline or the Customer, the cost of the Service will not be refundable.
4. Using the Flexible Ticket to Change your Flight
4.1. Customers willing to change their flight must do so no later than 72 hours before their initial flight's planned departure. The steps are as follows:
- Access your personal area (“MyArea”) on the website www.farera.com by entering your email and Order ID. (The Order ID is a unique identifier of your flight booking that is sent to you via email after successfully purchasing a flight ticket on the Platform).
- Navigate to the “Extra Services” section and make a request using the Schedule Change service.
- MicroSignals' Customer Support Team will contact You to confirm your request for flight change. Following this, You will receive an email containing a quote for the change. This quote will detail any potential fare differences levied by the airline in case the cost of the new flight exceeds that of the original one.
- Once the airline has approved the change, the updated itinerary will be confirmed to you through Your personal area (“MyArea”). Please note that it might take up to 48 hours for our Customer Support Team to process your request due to the time needed to coordinate with the airline to determine the new schedule based on availability.
- The flight change is considered finalized only after You receive a confirmation email from Us. If You haven't received this confirmation, please reach out to our Customer Support Team.
- In cases where a booking includes multiple passengers, the Service may be activated individually for one or more passengers. Following the initial activation of the Service, whether it applies to all passengers on the booking or only a subset thereof, and whether it applies to all legs of the trip or only a subset of the legs, the Service is deemed to have been used. Consequently, no further changes can be made under these terms and conditions.
- During the change process with our Flexible Ticket service, it’s the responsibility of the Customer to ensure timely and accurate communication. Promptly providing complete and correct information is essential for a smooth and efficient rebooking experience. Delays in communication or inaccuracies in the details that You provide can lead to potential delays or issues in processing your request and/or to additional costs. We encourage Customers to carefully review all information before submission and to respond swiftly to any inquiries from our Customer Support Team to help facilitate a successful change.
- Please note that currently We communicate only in English by phone and email.
5. Service Limitations and Force Majeure Conditions
5.1. By using the Service, the Customer grants the Company authority to modify the original flight booking on their behalf.
5.2. The departure time of the rescheduled flight must be at least 48 hours after the time of the change request.
5.3. Changes to individual segments or legs of a multi-stop flight are not permitted.
5.4. Cabin upgrades or changes to a higher booking class on the same flight are not allowed.
5.5. This Service is limited to changes in date and time only. Any other modifications (e.g., name changes, route alterations, additional baggage or seating requests) will incur standard fees, charges, and fare adjustments from the airline.
5.6. If a flight change is confirmed, the Service cannot be reapplied, even if the Customer does not check in for the rescheduled flight. Only one journey modification is allowed per Customer. Should a second change of date be required, the Customer will incur all standard penalties, fees, and fare adjustments associated with such a change.
5.7. The cost of the Service is non-refundable.
5.8. The Company assumes no responsibility for any additional services (e.g., luggage and seat reservations) booked by the Customer directly with the airline.
5.9. In case post-change conditions result in ineligibility for previously applicable special fares (such as fares for infants), the Customer is responsible for paying the difference.
5.10. The Customer acknowledges and agrees that the Service will not be available under the following circumstances:
- Involuntary Cancellation by Airline: If any of the flights within the Customer's reservation is canceled by the operating airline.
- Airline's Operational Cessation or Bankruptcy: In the event that any airline involved in one of the Customer's flights suspends operations or declares bankruptcy.
- Force Majeure Events: This refers to unforeseeable events beyond the control of either party, which prevent the fulfillment of obligations under these T&Cs. These events, occurring at either the departure or arrival locations, include, but are not limited to, natural disasters (such as earthquakes, floods, hurricanes), war, terrorism, civil unrest, epidemics, pandemics (as declared by relevant local or international authorities), nuclear incidents, significant governmental actions, strikes, civil unrest, looting, and vandalism.
5.11. In the occurrence of any of the conditions listed in this Clause 5.10, the Customer looking to modify the date and/or time of a flight booked via any MicroSignals website (subject to airline policies allowing such modifications) will no longer be entitled to receive a full waiver of the fee normally charged by the airline for changing reservations.
6. Governing Law and Dispute Resolution
6.1. These T&Cs and your use of the Service are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Both You and We agree to submit to the personal jurisdiction of a state court located in Delaware for any actions where the parties retain the right to seek injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights, as detailed in the Dispute Resolution provision below.
6.2. In the event that You are a consumer who is residing or domiciled within the European Union, You will benefit from any mandatory provisions of the national law of your place of residence or domicile. Nothing in these T&Cs, including this clause, affects your rights as a consumer to rely on such mandatory provisions of national law. The parties agree that the settlement of disputes that may arise from these T&Cs and the contractual relationship established between them for the provision of the Service, shall be subject to the exclusive jurisdiction of the courts of the Customer's country of residence or domicile.
6.3. We would like to inform You that the European Commission provides to all citizens of the European Union a platform for online dispute resolution in relation to services provided by companies belonging to the European Union (the "ODR Platform"), which can be accessed through the following link: http://ec.europa.eu/consumers/odr. However, as MicroSignals is an entity incorporated under the laws of the state of Delaware, with its registered office located at 1111B S Governors Ave STE 6454 Dover, Delaware 19904 USA, any claims are not admissible through the aforementioned ODR platform. For this reason, in order to allow Us to give You assistance with regard to the Service purchased on our Platform or to solve any problem thereto, We invite You to contact our Customer Service Team using the contacts provided in the Support section available in your MyArea at www.farera.com.
6.4. As a consumer residing or domiciled in the United States, You agree that any disputes, claims, or controversies arising from or relating to these T&Cs, including any disputes regarding the breach, termination, enforcement, interpretation, or validity thereof, or related to your use of the MicroSignals platform (collectively referred to as “Disputes”), will be resolved through binding arbitration. This excludes situations where either party seeks injunctive or other equitable relief in a competent court to address infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
6.5. By agreeing to arbitration, both You and MicroSignals waive any rights to a jury trial or to participate as a plaintiff or class member in any class action lawsuit, class-wide arbitration, private attorney general action, or any representative proceeding. Further, unless both parties agree in writing, the arbitrator will not consolidate more than one person's claims and will not preside over any form of class or representative proceeding.
6.6. This arbitration agreement is part of a transaction involving interstate commerce and is thus governed by the Federal Arbitration Act (FAA). The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes (AAA Rules), as modified by this Arbitration Agreement. The AAA Rules are available at www.adr.org/Rules.
6.7. To begin arbitration, a party must provide the other party with a written Demand for Arbitration as outlined in the AAA Rules. The arbitrator, who will be either a retired judge or an attorney licensed to practice law in Delaware, will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties cannot agree on an arbitrator within seven (7) days of the Demand for Arbitration, the AAA will appoint one in accordance with its rules.
6.8. Unless both parties agree otherwise, arbitration will be conducted in the state of Delaware, United States. If your claim does not exceed $10,000, arbitration will be based solely on documents submitted, unless a hearing is requested or deemed necessary by the arbitrator. For claims exceeding $10,000, the right to a hearing will be determined by AAA Rules. The arbitrator may direct a reasonable exchange of information by the parties, in line with the expedited nature of arbitration.
6.9. The arbitrator will issue a decision within the timeline specified by AAA Rules, including essential findings and conclusions. Judgment on the award may be entered in any court with jurisdiction. The arbitrator’s award damages must adhere to the “Roles, Responsibilities, and Limitations of Liability” section of MicroSignals, Inc. Terms and Conditions in terms of types and amounts. Only declaratory or injunctive relief in favor of the individual claimant is permitted. The prevailing party in arbitration may be awarded reasonable attorneys' fees and expenses.
6.10. Your obligation to pay any AAA filing, administrative, and arbitrator fees will be as set forth in the AAA Rules.
6.11. If MicroSignals modifies this Arbitration Agreement after your acceptance, You may reject the change by sending written notice within 30 days of the change becoming effective. By rejecting changes, You agree to arbitrate any Dispute between You and MicroSignals under the provisions of this Arbitration Agreement as of your original acceptance date.
7. Right of Withdrawal
7.1. Customers are entitled to cancel their Service within a 14-day period (referred to as the “Withdrawal Period”) starting from the date the Service was purchased. This right to withdraw requires no justification and is free of any charges. For bookings involving multiple passengers, it is not possible to request a withdrawal for individual passengers. Any withdrawal request will apply to all passengers listed in the booking.7.2. The withdrawal right under this Clause is forfeited once the Service has been used by the Customer. It is important to note that withdrawal cannot be exercised after the scheduled flight departure date.
7.3. To initiate a withdrawal, Customers must inform MicroSignals of their decision before the Withdrawal Period expires. This can be done either by getting in contact with Us through the “Support” section available in your personal area (“MyArea”) at www.farera.com, or by sending a written notice to MicroSignals’ registered office, located at 1111B S Governors Ave STE 6454 Dover, Delaware 19904 USA. Customers must specify the Order ID found in the confirmation email in their communication.
7.4. As the Customer bears the responsibility for proving the withdrawal within the set time frame, it is advisable to use a reliable means of communication for this purpose.
7.5. Upon a valid withdrawal from the Service, MicroSignals commits to refunding the total amount paid for the Service within 14 calendar days from the date of notification. The refund will be processed using the same payment method as the original transaction.
7.6. In case of non-compliance with the withdrawal procedures set forth herein, the contract for the provision of the Service will remain in full force and effect and, consequently, the Customer will not be entitled to receive any refund under this Clause.
