1. Introduction to the Cancel for Any Reason
1.1. Cancel for Any Reason, (also known as the "Service"), is provided by MicroSignals, Inc. (“MicroSignals”, “We” or “Us” or “the Company”), a travel intermediary incorporated in the state of Delaware. MicroSignals operates under the brand name Farera using the website www.farera.com (the “Platform”).
1.2. These general Terms and Conditions for the Cancel for Any Reason (“T&Cs”) apply between a customer (“You” or the “Customer”) who has purchased the Service, and MicroSignals, the operator of the Platform.
1.3. Cancel for Any Reason is an ancillary Service provided exclusively by MicroSignals, and can be optionally purchased only alongside your airline ticket.
1.4. It is important to understand that this Service is not an insurance product, nor should it be construed as such. As a distinctive offering from MicroSignals, Cancel for Any Reason enables Customers to cancel their air ticket bookings under specific terms and conditions, as outlined in these T&Cs.
2. Service Description
2.1. The Customer who purchased the Service will have access to an electronic voucher (the "Voucher") equivalent to 90% of the cost of the air ticket originally purchased.
2.2. The Voucher can be redeemed exclusively on Farera.com to complete a new booking, subject to the terms and conditions outlined in these T&Cs.
2.3. The Customer who purchased the Service has the option to either:
- Keep the original air ticket, traveling on the originally scheduled date. If this option is chosen, the Voucher is automatically forfeited and can no longer be claimed or redeemed by the Customer.
- Cancel the original air ticket and request the Voucher from MicroSignals, provided that the cancellation is requested no later than 48 hours prior to the initial flight's departure. The Voucher can be used by the Customer to arrange a new flight booking, within the scope of the conditions and procedures outlined in these T&Cs.
3. Terms and Limitations
3.1. Cancellation of the original air ticket can also be requested for single passengers within a reservation. In such instances, the Voucher's value will be adjusted proportionally to the number of passengers who opt to cancel their booking.
3.2. The cancellation request always applies to the entire booking and cannot be requested for individual segments of the journey.
3.3. The Voucher amounts to 90% of the value of the canceled air ticket, inclusive of taxes and fees imposed by the carrier, provided the booking and purchase were made on the Platform.
3.4. The calculation to determine the Voucher amount excludes any additional cost incurred by the Customer both at the time of the original booking and post-purchase. Examples of these costs that are excluded from the Voucher amount include, but are not limited to: the price paid for the Cancel for Any Reason service, any service fee charged by MicroSignals, the price of any extra service added during the booking process (including but not limited to: additional luggage, Flexible Ticket, Premium Assistance, web check-in assistance, special transportation needs, etc. where available on the Platform), and the price of any other add-on added during or after the reservation.
3.5. The maximum value of the Voucher cannot exceed $5,000.00 per booking, regardless of the number of passengers requesting cancellation. In cases where the booking undergoes changes leading to a fare increase (like changes in travel date, passenger name changes, adding luggage, seat selection, etc.), the Voucher’s value will still be calculated on the original, unaltered ticket price.3.6. In certain situations, if technical issues or limitations prevent the issuance of a Voucher, MicroSignals reserves the right, at its sole discretion, to offer a cash refund equivalent to the value of the Voucher. This measure ensures that the Customer retains the benefit of the Service even in cases where the standard process of Voucher generation is not feasible. The decision to issue a cash refund in lieu of a Voucher rests entirely with MicroSignals and will be executed in accordance with the terms and conditions governing the Cancel for Any Reason service.
3.7. The Voucher, as outlined in these T&Cs, is not recognized as a credit instrument. Its features and operational procedures are detailed within these T&Cs. Additional conditions, which are intended to complement the provisions in these T&Cs, may be presented on the Voucher itself or on the email accompanying the Voucher.
3.8. The Voucher remains valid for 12 months from the date the email with the Voucher’s details is sent to the Customer. Upon the expiration of this period, the Voucher cannot be redeemed and used by the Customer anymore, and no rights thereto can any longer be asserted by the latter against MicroSignals. The Company will then proceed to annul the Voucher and exclude it from its financial records, with no opportunity for the Customer to dispute this action.
3.9. The Voucher is not eligible for use in conjunction with other vouchers, cashback schemes, or any other promotional offer and/or discount.
3.10. With the issuance of the Voucher, the provision of the Service by MicroSignals will be considered to have been fulfilled.3.11. The Voucher can be used by the Customer multiple times until its total value is exhausted.
3.12. The Voucher can only be redeemed in conjunction with the email address that was used for the original ticket purchase.Additionally, the voucher is redeemable exclusively for booking new flights for passengers listed in the original reservation who canceled their flight using Cancel for Any Reason. It is not applicable for passengers not included in the original booking, nor for passengers included in the original booking whose flights were not canceled using Cancel for Any Reason.3.13. Once the Service is used by the Customer, its cost is non-refundable.
3.14. It’s important to note that by canceling the original air ticket and accepting the Voucher from Us, You agree to forego all rights associated with your original flight ticket, assigning them to MicroSignals. This means that, by asking Us to cancel your flight booking and accepting the Voucher in return, You expressly accept that We gain all rights related to the canceled flight ticket. This also entitles Us to exercise your rights with the airline that issued the flight ticket. This means that, once You received the Voucher, You are no longer entitled to make use of the air transportation service. Please note that if We cannot successfully exercise the rights assigned to Us with regard to the flight ticket, because the air carrier's refund solution is non-transferable (e.g. a nominative voucher), We will forward the air carrier's refund to You. If the amount of the air carrier's (non-transferable) refund is lower than the value of Voucher calculated in accordance with Clause 3 of these T&Cs, We will issue a Voucher for the difference.
3.15. To cancel the original flight ticket and request the Voucher under the Cancel for Any Reason service, it is mandatory that the Customer and the passengers have not completed the check-in process for any segment of their flights. This condition applies irrespective of the method used for check-in (online or at the airport). If the Customer or the passenger has already checked in for their flight, the right to cancel the flight and request the Voucher as per these T&Cs is forfeited.
4. Canceling Your Flight and Activating the Service
4.1. If You intend to cancel the original air ticket and You want to request the Voucher from Us as per section 2.4 of these T&C, You must do so no later than 48 hours before the initial flight's planned departure. Requests to cancel a flight and using the Service received within 48 hours of the initial flight's planned departure, as well as those received after the departure time, will be considered invalid. This will lead to the forfeiture of the rights to use the Service and to receive the Voucher.
4.2. In order to use the Service and request the Voucher, You are required to follow these steps:
- Access your personal area (“MyArea”) on the website www.farera.com by entering your email and Order ID. (The Order ID is a unique identifier of your flight booking that is sent to you via email after successfully purchasing a flight ticket on the Platform).
- Navigate to the Extra Services section and make a request using the Cancel Reservation service.
- MicroSignals' Customer Support Team will contact You to guide You through the cancellation process and to inform You about refund options (including the Voucher). After this interaction, You will receive an email from Us requesting You to confirm your Cancellation.
- Upon receipt of your confirmation, in case You will have selected the Voucher as refund option, this will be made available to You through your MyArea on the Platform within 48 hours.
4.3. If You encounter any difficulty accessing the Cancel Reservation service through your MyArea, whether due to technical issues or other reasons, We invite You to submit your cancellation request via the Support section instead. Upon receiving your request through this channel our Customer Support Team will ensure it is processed in line with the T&Cs governing the Service.
4.4. Please note that currently We communicate only in English by phone and email.
5. Service Limitations and Force Majeure Conditions
5.1. The Customer acknowledges and agrees that the Service, allowing for the cancellation of an air ticket in exchange for a Voucher, will not be available under the following circumstances:
- Involuntary Cancellation by Airline: If any of the flights within the Customer's reservation is canceled by the operating airline.
- Airline's Operational Cessation or Bankruptcy: In the event that any airline involved in one of the Customer's flights suspends operations or declares bankruptcy.
- Force Majeure Events: This refers to unforeseeable events beyond the control of either party, which prevent the fulfillment of obligations under these T&Cs. These events, occurring at either the departure or arrival locations, include, but are not limited to, natural disasters (such as earthquakes, floods, hurricanes), war, terrorism, civil unrest, epidemics, pandemics (as declared by relevant local or international authorities), nuclear incidents, significant governmental actions, strikes, civil unrest, looting, and vandalism.
- In the occurrence of any of the conditions listed in this Clause 5.1, the option to cancel the original air ticket and receive a Voucher through the Service becomes unavailable, and any fees paid for the Service are non-refundable.
6. Fraud Prevention and Right to Limit Access
6.1. MicroSignals reserves the right to monitor the use of the Service and the Voucher for any activities that We, in our sole discretion, suspect to be fraudulent, deceitful, or in violation of these T&Cs. This includes, but is not limited to, instances where We believe a customer is exploiting the Service or Voucher in a manner that constitutes fraudulent behavior, manipulation, or misuse intended to unjustly benefit at the expense of MicroSignals or other users. Should We determine, based on reasonable grounds, that such activities are occurring, We retain the right to take appropriate actions. These actions may include, but are not limited to, denying access to the Service, invaliding the Voucher already issued, restricting or suspending the user's access to the Platform, and pursuing legal action. These measures are vital to maintain the integrity of our services and protect the rights and interests of all our users and stakeholders.
7. Governing Law and Dispute Resolution
7.1. These T&Cs and your use of the Services are governed by the laws of the State of Delaware, without regard to its conflict-of-law provisions. Both You and We agree to submit to the personal jurisdiction of a state court located in Delaware for any actions where the parties retain the right to seek injunctive or other equitable relief to prevent actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights, as detailed in the Dispute Resolution provision below.7.2. In the event that You are a consumer who is residing or domiciled within the European Union, You will benefit from any mandatory provisions of the national law of your place of residence or domicile. Nothing in these T&Cs, including this clause, affects your rights as a consumer to rely on such mandatory provisions of national law. The parties agree that the settlement of disputes that may arise from these T&Cs and the contractual relationship established between them for the provision of the Service, shall be subject to the exclusive jurisdiction of the courts of the Customer's country of residence or domicile.
7.3. We would like to inform You that the European Commission provides to all citizens of the European Union a platform for online dispute resolution in relation to services provided by companies belonging to the European Union (the "ODR Platform"), which can be accessed through the following link: http://ec.europa.eu/consumers/odr. However, as MicroSignals is an entity incorporated under the laws of the state of Delaware, with its registered office located at 1111B S Governors Ave STE 6454 Dover, Delaware 19904 USA, any claims are not admissible through the aforementioned ODR platform. For this reason, in order to allow Us to give You assistance with regard to the Service purchased on our Platform or to solve any problem thereto, We invite You to contact our Customer Service Team using the contacts provided in the Support section available in your MyArea at www.farera.com.
7.4. As a consumer residing or domiciled in the United States, You agree that any disputes, claims, or controversies arising from or relating to these T&Cs, including any disputes regarding the breach, termination, enforcement, interpretation, or validity thereof, or related to your use of the MicroSignals platform (collectively referred to as “Disputes”), will be resolved through binding arbitration. This excludes situations where either party seeks injunctive or other equitable relief in a competent court to address infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
7.5. By agreeing to arbitration, both You and MicroSignals waive any rights to a jury trial or to participate as a plaintiff or class member in any class action lawsuit, class-wide arbitration, private attorney general action, or any representative proceeding. Further, unless both parties agree in writing, the arbitrator will not consolidate more than one person's claims and will not preside over any form of class or representative proceeding.
7.6. This arbitration agreement is part of a transaction involving interstate commerce and is thus governed by the Federal Arbitration Act (FAA). The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes (AAA Rules), as modified by this Arbitration Agreement. The AAA Rules are available at www.adr.org/Rules.
7.7. To begin arbitration, a party must provide the other party with a written Demand for Arbitration as outlined in the AAA Rules. The arbitrator, who will be either a retired judge or an attorney licensed to practice law in Delaware, will be selected by the parties from the AAA's roster of consumer dispute arbitrators. If the parties cannot agree on an arbitrator within seven (7) days of the Demand for Arbitration, the AAA will appoint one in accordance with its rules.
7.8. Unless both parties agree otherwise, arbitration will be conducted in the state of Delaware, United States. If your claim does not exceed $10,000, arbitration will be based solely on documents submitted, unless a hearing is requested or deemed necessary by the arbitrator. For claims exceeding $10,000, the right to a hearing will be determined by AAA Rules. The arbitrator may direct a reasonable exchange of information by the parties, in line with the expedited nature of arbitration.
7.9. The arbitrator will issue a decision within the timeline specified by AAA Rules, including essential findings and conclusions. Judgment on the award may be entered in any court with jurisdiction. The arbitrator’s award damages must adhere to the “Roles, Responsibilities, and Limitations of Liability” section of MicroSignals, Inc. Terms and Conditions in terms of types and amounts. Only declaratory or injunctive relief in favor of the individual claimant is permitted. The prevailing party in arbitration may be awarded reasonable attorneys' fees and expenses.
7.10. Your obligation to pay any AAA filing, administrative, and arbitrator fees will be as set forth in the AAA Rules.
7.11. If MicroSignals modifies this Arbitration Agreement after your acceptance, You may reject the change by sending written notice within 30 days of the change becoming effective. By rejecting changes, You agree to arbitrate any Dispute between You and MicroSignals under the provisions of this Arbitration Agreement as of your original acceptance date.
8. Right of Withdrawal
8.1. Customers are entitled to withdraw from the purchase of the Service within a 14-day period (referred to as the “Withdrawal Period”) starting from the date the Service was purchased. This right to withdraw requires no justification and is free of any charges. For bookings involving multiple passengers, it is not possible to request a withdrawal for individual passengers. Any withdrawal request will apply to all passengers listed in the booking.8.2. The withdrawal right under this Clause is forfeited once the Service has been used by the Customer. It is important to note that the right of withdrawal cannot be exercised after the scheduled flight departure date.
8.3. To exercise the right of withdrawal, Customers must inform MicroSignals of their decision before the Withdrawal Period expires. This can be done either by getting in contact with Us through the “Support” section available in your personal area (“MyArea”) at www.farera.com, or by sending a written notice to MicroSignals’ registered office, located at 1111B S Governors Ave STE 6454 Dover, Delaware 19904 USA. Customers must specify in their withdrawal communication the Order ID indicated in the confirmation email.
8.4. As the Customer bears the responsibility for exercising the right of withdrawal within the set time frame, it is advisable to use a reliable means of communication for this purpose.
8.5. Upon a valid withdrawal from the purchase of the Service, MicroSignals commits to refunding to the Customer the total amount paid for the Service within 14 calendar days from the date of notification. The refund will be processed through the same payment method used for the original transaction.
8.6. In case of non-compliance with the withdrawal procedures set forth herein, the contract for the provision of the Service will remain in full force and effect and, consequently, the Customer will not be entitled to receive any refund under this Clause.
